    Article [X] - Exit and Transition

    1. Upon termination of this Agreement, regardless of the reason, the Supplier shall cooperate fully during a transition period of [number, e.g. 3] months after the termination date to transfer the services to the Client or a third party designated by the Client.

    2. The cooperation referred to in paragraph 1 shall include at a minimum:
    (a) transferring all data, files, documentation, and configurations owned by the Client in a common, machine-readable format;

    (b) providing a complete overview of ongoing work, open issues, and planned changes;

    (c) making key personnel available for knowledge transfer for at least [number] hours per week;

    (d) granting access to systems and environments to the extent necessary for the migration.

    3. The Supplier shall prepare a transition plan within [number, e.g. 10] business days after notice of termination is given, subject to the Client's approval. The transition plan shall include at a minimum: a timeline, an overview of data and systems to be migrated, the required personnel commitment, and a risk assessment.

    4. The fees for transition services shall be [the standard rates agreed in this Agreement / a separately agreed transition rate]. The Supplier shall not make its transition cooperation conditional on the payment of disputed invoices.

    5. Upon completion of the transition, the Supplier shall delete all of the Client's data and personal data within [number] business days and confirm this in writing, unless retention is required by law.

    What does this clause mean?

    An exit clause sets out how the relationship is wound down in an orderly manner when the contract ends. Without such a clause, you may find yourself empty-handed when switching suppliers: your data is locked with the outgoing provider, knowledge is undocumented, and the transition to a new party can be delayed by months.

    Vendor lock-in is one of the biggest risks in long-term supplier relationships. When switching suppliers becomes technically or practically too complex, you lose your negotiating position. According to Weshare (2025), 95% of organisations lack full visibility into their contractual obligations. An exit clause forces both parties to think about the end game from the outset.

    Paragraph 4 is critical: transition cooperation must not be held hostage by outstanding invoice disputes. In practice, suppliers sometimes try to delay the handover until all invoices have been settled. This paragraph prevents that.

    When should you use this clause?

    Include an exit clause in every agreement for ongoing services, particularly IT services, cloud platforms, outsourcing, and managed services. The greater your dependency on the supplier, the more important a clear exit arrangement becomes.

    Deloitte and DocuSign (2024) estimate that $2 trillion is lost globally each year due to poor contract management. A significant portion of that figure is attributable to transition costs from supplier switches that were not contractually regulated. Negotiate the exit clause at the start of the relationship, not when the partnership is already under pressure.
